What is a W-9 Form?
What is a W-9 Form?
W-9 (Request for Taxpayer Identification Number and Certification) is a form used by American taxpayers and entities operating in the USA. This document helps them declare their taxpayer identification number (TIN) to a company that pays them on their behalf. When their payments go above the reporting threshold, the one who pays (the payer) gets this Form 1099 as a reporting document and, of course, keeps a paper copy.
What is a W-8BEN Form?
On the other hand, W-8BEN (Certificate of Foreign Status of a Beneficial Owner for United States Tax Withholding) is the form used by non-US taxpayers. To make the proper tax deduction, the taxpayer status has to be established as foreign. If the withholding tax under the treaty between the two countries is lower, then, according to that treaty, the default 30% rate applies to the deduction. Foreign companies can also rely on a different version of the said form W-8BEN-E.
What is the difference between W-9 and W-8BEN?
The forms split payees into two tax categories, and the difference drives everything downstream — withholding, reporting, and treaty eligibility.
- Who is the submitter: W-9 is for US individuals and entities, whereas W-8BEN belongs to non-US individuals (W-8BEN-E corresponds to foreign entities)
- Zweck: W-9 serves as a TIN confirmation for 1099 tax reporting, whereas W-8BEN is a form used to declare the status as a foreign person and to benefit from a tax treaty.
- Auswirkung: A typical W-9 filer does not expect the tax to be automatically withheld, whereas the filer of a W-8BEN may be taxed at the basic rate of 30% unless a treaty brings the withholding tax to a lower level.
- The time period of validity: A W-9 is valid until your information changes; generally, however, a W-8BEN should have a three-year lifespan, and a renewal is needed.
- IRS form reporting: A W-9 is a source of a 1099 form; similarly, a W-8BEN triggers the generation of Form 1042-S reporting.
A freelance engineer from the US who sells plugins through a software market provides a W-9 form before the very first payment is processed. As part of a game studio in Germany (whose game is published on the same marketplace), submitting a W-8BEN-E would be their way to comply with the withholding tax under the US-Germany Tax treaty provisions.
Why must SaaS marketplaces collect W-9/W-8 before first payout?
The IRS classifies SaaS marketplaces and similar platforms that remunerate vendors, affiliates, or developers as withholding agents. A non-conforming tax status means the platform, not the individual, is tasked with managing withholding tax differences and potential penalties.
- Payment authorization requires the prior and proper completion of either a W-9 or W-8BEN document. The best practice is to embed this step in the onboarding process, so it does not occur as a later-stage change.
- It is advised to scan or convert the forms into electronic files and, additionally, to extract and store the data in digital form for future audit purposes.
- Create a reminder system to revalidate the W-8BEN before the three-year expiry.
- Identify for subsequent review cases where a discrepancy exists between the signer’s name on a document and the legally recognized name of an account holder.
- Maintain a thorough documentation system to show which withholding has been used under a treaty and on which the selection was taken.
How do you build a payee-classification workflow (US vs. non-US)?
You can make the process of payee separation reliable by asking for the necessary payee information before the payment happens, as soon as a new payer is onboarded. In the system, it could be the country of tax residence and whether the payee is a business or an individual.

What is IRS TIN Matching?
The IRS’s TIN Matching program enables payers to verify a W-9’s name and TIN against IRS data before 1099 submissions. Most platforms that handle a large number of payees would implement this IRS e-services API und einem compliance tool to highlight any mismatched payees at intake rather than having them show up as a filing error a few months later. The application of real-time IRS matching relates to the frequency of official correspondence and monetary assessments linked to TIN data discrepancies on 1099s.
What triggers re-collection (address change, expiry, IRS B-notice)?
A W-8BEN is eligible for about 3 years, but after the expiration date, it prompts an up-to-date form. Similarly, an address change may mean a different tax treaty applies to the payee, as they may even be switching their country or have no address altogether. The presence of an IRS B-Notice links the distinction between a name and TIN on a 1099. Following such an event, the payer must obtain an updated W-9 from the party involved. A change in entity structure, such as the transformation of the owner of a sole trader into a sole proprietor or vice versa, will result in a completely different form and TIN being applicable.
Schlussfolgerung
The purpose of having a W-9 and a W-8BEN is to clear this point of fact: the payee is either a US or foreign taxpayer and, therefore, their effect on withholding and reporting. When a business needs to make multiple payments to foreign contractors or sellers, it means they have a worldwide pool of contractors and sellers, and it’s not just a matter of getting a form from someone at the right time. It is the process of collecting and submitting a payee to the appropriate document so that a company is compliant with the IRS and at a later stage.
